Welcome to Legal Merit. These Terms of Service (“Terms”) govern your access to and use of the Legal Merit service, including our website, reports, email-based analysis, and related tools (collectively, the “Service”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Our Service

Legal Merit provides automated and semi-automated contract analysis services, including but not limited to:

  • Plain-language summaries of contractual risks
  • Suggested edits and negotiation rationale
  • Automated insurance requirement gap analysis
  • Extraction of operational obligations for various departments

Not Legal Advice – Legal Merit is not a law firm, does not provide legal advice, and does not create an attorney–client relationship. Our analysis is for informational purposes only to help you identify potential issues and streamline contract review. You should seek independent legal advice before making final decisions based on our reports.

2. Eligibility

You may use the Service only if you:

  • Are at least 18 years old,
  • Have the authority to bind your company to these Terms, and
  • Use the Service for business purposes only.

3. How It Works

  1. You forward contracts to your assigned Legal Merit email address.
  2. We analyze the document using a combination of AI, deterministic rules, and human oversight.
  3. We deliver an inline email report and, where applicable, a redline supplement.

You are responsible for ensuring that you have the rights and permissions to share any documents you submit for analysis.

4. Subscriptions & Payments

We offer both usage-based and unlimited monthly subscription pricing.

  • Usage-based plans: You purchase monthly credits that can be used for contract analysis; unused credits roll over for up to 12 months.
  • Unlimited plans: You may submit unlimited contracts during your subscription period.
  • All fees are billed in advance, are non-refundable, and do not include applicable taxes.

We may suspend or terminate your account for non-payment.

5. Confidentiality

We treat your documents and analysis results as confidential and will not disclose them to third parties except:

  • To our service providers under strict confidentiality obligations,
  • As required by law or court order, or
  • With your written consent.

We may use anonymized, aggregated data for service improvement and analytics.

6. Your Responsibilities

You agree not to:

  • Submit unlawful, infringing, or malicious content,
  • Use the Service for personal, non-business purposes,
  • Attempt to reverse engineer, scrape, or interfere with our systems,
  • Rely solely on the Service without professional review for high-risk decisions.

7. Intellectual Property

Legal Merit retains all rights, title, and interest in and to the Service, including all software, analysis methodologies, and report formats. You may use reports solely for your internal business purposes and may not resell, redistribute, or publicly display them without our written consent.

8. Disclaimers

The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including any warranties of accuracy, completeness, merchantability, or fitness for a particular purpose. We do not guarantee that our analysis will identify every potential issue in a contract.

9. Limitation of Liability

To the maximum extent permitted by law, Legal Merit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid to us in the 3 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Legal Merit and its affiliates from any claims, damages, liabilities, and expenses arising from:

  • Your use of the Service,
  • Your violation of these Terms, or
  • Any content or contracts you provide.

11. Termination

You may terminate your subscription at any time; however, fees are non-refundable. We may suspend or terminate your access if you breach these Terms or misuse the Service. Upon termination, your access to reports will cease, but we will retain your documents in accordance with our data retention policy.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute will be resolved by binding arbitration under the rules of the American Arbitration Association, and you waive the right to participate in a class action.

13. Changes to These Terms

We may update these Terms from time to time. The “Effective Date” at the top will reflect the latest version. Continued use of the Service constitutes acceptance of any updates.
